Terms of Service

1. Acceptance of Terms

By accessing or using the GBP Reviews API (the “Service”) provided by Aspereco LLC (“we,” “us,” or “our”), you (“you,” “your,” or “Customer”) agree to be bound by these Terms of Service, our Privacy Policy, and any relevant Supplementary Terms. If you do not agree, do not use the Service.

2. Overview of Service

We provide a RESTful API that allows authorized users to retrieve and reply to reviews from their own Google Business Profile(s) using the business.manage OAuth scope.

3. Eligibility and API Access

• You must be an authorized owner or manager of the Google Business Profile(s) accessed via the API.
• Clients must apply for Basic API Access in a Google Cloud project under their Organization account before using the Service.
• You may only use the Service to access your own Profiles or those you are explicitly authorized to manage.

4. User Accounts and Permissions

• You are responsible for onboarding your Google account via OAuth.
• You must keep your refresh tokens and subscription data secure and not share them.
• We reserve the right to suspend or revoke access if misuse is detected.

5. Acceptable Use

• Do not harvest or sell Google account or review data.
• Do not automate unsanctioned replies or scraping in violation of Google's Business Profile API Policies.
• Do not conduct abusive or fraudulent behavior (e.g., spam, harassment).
• Do not reproduce, modify, or expose Google data beyond direct customer usage.

6. Billing and Payment

• Billing is handled via Stripe (or connected platform), based on actual API usage.
• You’ll be charged per review or reply processed; usage tiers and Free Tier are detailed on our pricing page.
• No refunds for successful API operations (unless otherwise required by law).

7. Intellectual Property

• We retain all rights to the Service’s code, trademarks, and documentation.
• You retain rights to your business’s data (e.g. review texts, replies).
• No licenses granted except for the limited right to access the Service per these Terms.

8. Privacy & Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, store, and delete personal data.
We comply with the Google API Services User Data Policy and Google OAuth 2.0 Policies.

9. Security

• Your data is encrypted in transit (HTTPS) and at rest.
• We follow best practices for OAuth token handling; only minimal scopes are requested.
• We will promptly notify you of any data breach affecting your account.

10. Limitation of Liability

• We provide the Service “as-is.”
• We are not responsible for indirect or consequential damages, including loss of profits or business.
• Total liability is capped at the total fees paid by you in the 90 days prior to any claim.

11. Termination

• You may stop using the Service and withdraw consent at any time via Google account settings.
• We may suspend or terminate your access for violations of these Terms or Google policies, without notice.
• Upon termination, we’ll delete your data within 7 calendar days.

12. Changes to Terms

We may update these Terms at our discretion. Updates will be posted with a new “Last updated” date. If changes are material, you’ll be notified via email or in-app.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law provisions.
